This is a comprehensive working draft, built from everything agreed on how GoldenBlue actually operates. It is not a substitute for legal review — a solicitor should check this in full before it goes live, and in particular should confirm the consumer-rights and cancellation position in Section 16, which depends on a legal judgement this document flags but does not make.

GoldenBlue Racing trades under this name while GoldenBlue Racing Ltd is in the process of being registered, with Richard Hepple and Nicola Hepple as directors. Until incorporation completes, these Terms are entered into by Richard and Nicola personally, trading under this name; GoldenBlue Racing Ltd will adopt these Terms once incorporated.

1. About These Terms

1.1 These Terms & Conditions ("Terms") govern membership of the GoldenBlue Racing Club ("the Club") and all Lease Shares sold by GoldenBlue Racing ("the Company", "we", "us").

1.2 By purchasing a Lease Share or otherwise joining the Club, you ("you", "the Member") agree to be bound by these Terms.

1.3 These Terms apply to every horse run under the GoldenBlue name, alongside any horse-specific terms disclosed to you at the point of purchase for that horse.

2. Definitions

  • "Lease Share" means a leased interest in a horse, sold to Members as Exclusive Membership (5%+) or Privileged Membership (Micro Lease Shares), as described in Section 5.
  • "Member" means anyone holding a current Lease Share.
  • "the Trainer" means the licensed trainer responsible for training a given horse, who may hold a direct stake in that horse alongside the Company.
  • "Membership Term" means the period a Lease Share runs for, as set out in Section 8.
  • "BHA" means the British Horseracing Authority.

3. Eligibility

3.1 You must be 18 or over to become a Member.

3.2 You must provide accurate, current information when registering, and keep it up to date.

3.3 We may decline or terminate membership at our reasonable discretion, including where we cannot verify your identity or age.

4. Ownership & Lease Structure

4.1 Every horse run under the GoldenBlue name is owned jointly by the Company and the horse's trainer, in the proportions set out in Section 12 — normally 10% to the Company and 10% to the trainer. No Lease Share sold by the Company transfers legal or registered ownership of any horse to the purchaser.

4.2 The remaining 80% is leased by the Company and the trainer to the Club membership, sold as Lease Shares. A Lease Share grants the holder a leased interest in that horse for the term of their membership only — specifically, the rights to prize money and distributable proceeds described in Sections 6–9. It does not grant any right to direct the horse's training, racing programme, sale, or retirement, nor any right to be registered as a legal owner with the BHA, nor any ownership interest that survives the end of the membership term.

4.3 Membership of the Club is only available through a Lease Share: Exclusive Membership requires a real 5% + Lease Share in a horse; Privileged Membership requires holding a Micro Lease Share. There is no membership route that does not involve a Lease Share.

4.4 For some horses, the Company itself leases the horse from a third-party owner rather than owning it jointly with the trainer, or operates a bespoke arrangement with the trainer that differs from the standard structure in this Section. Where this applies, it is disclosed at the point of sale for that horse, and those horse-specific terms take precedence over this Section 4 for that horse.

5. Membership Types

Exclusive Membership

A real 5%+ Lease Share in a horse. Lease Share price is set individually for each horse. Alongside your Lease Share, there's an ongoing all-in monthly fee of £150 for every 5% you hold, rising by 5% each year you hold it — see Section 13.

Privileged Membership

A Micro Lease Share — a small fixed percentage of a horse, at £40 a Lease Share. Each £40 Micro Lease Share is 0.025% of the horse. Runs from the date of purchase until 30 September that year, then renews — see Section 8.

6. Career-Ending Injury, Illness or Death

6.1 The Company does not hold mortality, loss-of-use, or injury insurance on any horse. Members acknowledge that a career-ending injury, illness, or death is a financial loss, not an insured event, and may result in Members recovering less than they paid — including nothing at all.

6.2 Where a horse suffers an injury or illness that ends its racing career, or dies, the Company will act promptly to establish whether the horse retains any resale, breeding, or rehoming value.

6.3 Where the horse retains such value, the Company will use reasonable efforts to realise it. All reasonable costs directly connected to the event will be deducted first — including but not limited to veterinary treatment, transport, retraining, rehoming, and disposal costs. Any remaining balance ("Net Recovered Value") will be distributed among Members pro-rata to their Lease Share at the date of the event, subject to Section 7.

6.4 Where those costs equal or exceed any value recovered, or the horse has no recoverable value, Lease Shares lapse with no distribution. Members are not entitled to a refund of amounts already paid, and are not liable for any shortfall beyond the amount they have already paid.

7. Retirement & Sale of Horses

7.1 Where a horse is retired from racing for performance or age reasons while it retains resale, breeding, or rehoming value — i.e. not an emergency event under Section 6 — the Company will treat this as a discretionary sale under this Section, with proceeds distributed accordingly.

7.2 The Company will give Members reasonable notice of an intended retirement or sale decision where practical. Member consent is not required.

7.3 The Company reserves the right to sell any horse at any time, for any reason, and at its sole discretion.

7.4 Where a Lease Share is sold and the sale takes place while that Lease Share is within its current membership term (i.e. before it has renewed past 30 September under Section 8), the Company will deduct a fee equal to 10% of the gross sale price. The remaining 90% ("Net Sale Proceeds") will be distributed among the Members of that horse in proportion to their Lease Share at the date of sale, or as set out in Section 7.6 where a trainer partnership applies.

7.5 Where a Lease Share has renewed on or after 30 September under Section 8 and the horse is subsequently sold, that Lease Share does not participate in the sale proceeds. This is a genuine difference from Section 7.4 and applies from the point of renewal onward.

7.6 Where the Company operates the horse in partnership with its trainer, proceeds not distributed to Members under this Section — including proceeds attributable to unleased shares, and proceeds under Section 7.5 — are shared between the Company and the trainer on terms specific to that horse, disclosed at the point of sale.

8. Privileged Membership — Annual Renewal

8.1 Privileged Membership (Micro Lease Shares) runs from the date of purchase until 30 September that year, at a flat price per Lease Share. There is no reduction in price for a Lease Share bought later in the year, regardless of the shorter term remaining.

8.2 Renewals are offered to existing Members from 1 September each year, for the following membership year running to the next 30 September, at the same flat price.

8.3 If Members representing 51% or more of the total Lease Shares in a horse do not renew, the Company may send the horse to sale, with net proceeds (per Section 7) distributed pro-rata among all Members — renewing and non-renewing — as at the end of the term.

8.4 If Members representing more than 51% do renew, the Company will use reasonable efforts to find buyers for any unrenewed Lease Shares, at a price of its choosing, rather than selling the horse. This is a fixed calendar renewal — every Lease Share, every horse, every year ends on the same 30 September date, rather than a rolling date tied to when you personally bought in.

9. Prize Money

9.1 The BHA automatically deducts its standard industry share for jockeys and supporting roles before any prize money reaches the Company or its Members. This is an industry-wide deduction, not a Company charge.

9.2 Whatever prize money the Company receives after the BHA's deduction is distributed in full to Members, strictly according to each Member's Lease Share at the time of the race.

9.3 Where the Company operates the horse in partnership with its trainer, prize money attributable to any unleased shares is shared between the Company and the trainer on terms specific to that horse, rather than retained by the Company alone.

10. Race-Day Access

10.1 Exclusive Members are entitled to at least one complimentary owner's badge on every occasion they are present when their horse is running, with additional badges available at cost price thereafter, and priority access to further owners' tickets where available.

10.2 Privileged Members may apply for race-day tickets through a ballot where they are available. Ballot access is not guaranteed and is allocated at the Company's discretion.

11. Trainer Partnerships

11.1 Some horses are run under a bespoke partnership between the Company and the horse's trainer, which may include the trainer covering training costs from their share of Lease Share proceeds, a different revenue split, or different treatment of unleased shares, prize money, or resale value than the standard terms elsewhere in this document.

11.2 Where this applies, the specific terms for that horse are disclosed to you before you purchase a Lease Share in it, and take precedence over the general provisions of these Terms for that horse.

12. Horse Equity Split

12.1 Every horse is split 10% to the trainer and 10% to the Company, both retained automatically. The remaining 80% is available to Exclusive Members as Lease Shares of 5% or more, or as Privileged Membership Micro Lease Shares, depending on the horse.

12.2 The price of each Lease Share is set individually per horse by the Company and is not calculated by a fixed formula.

13. Exclusive Membership — Monthly Fee & Annual Adjustment

13.1 The Exclusive Membership monthly fee is charged at £150 per 5% held, and increases by 5% each year on the anniversary of the Effective Date, for as long as the Member retains their Lease Share.

13.2 No other increase to the Exclusive monthly fee will be made outside this annual adjustment without the Member's agreement.

14. Pricing & VAT

14.1 All prices shown to Members are inclusive of any VAT that applies.

14.2 We reserve the right to correct pricing errors, and will notify you before taking payment if a price shown to you was incorrect.

15. Payment

15.1 All payments are in pounds sterling (GBP).

15.2 Exclusive Membership monthly fees are collected by recurring payment. If a payment fails, we will attempt to notify you and may suspend benefits under Section 10 until payment is resolved.

15.3 Privileged Membership Lease Shares are paid in full at the time of purchase or renewal.

16. Cancellation & Cooling-Off

16.1 If you are a consumer buying at a distance, including online or by email, you have the legal right to cancel your purchase within 14 days without giving any reason.

16.2 The 14-day cancellation period runs from the day the contract is formed, which is the day we confirm your purchase. If the contract covers multiple shares or multiple horses delivered at different times, the cancellation period runs from the day the last share or horse is confirmed.

16.3 To cancel, you must send us a clear statement that you want to cancel by emailing info@goldenblueracing.com. Using these contact details is enough; you do not need to use a specific cancellation form.

16.4 We will refund the full amount you paid within 14 days of being told about your cancellation, using the same payment method you used for the purchase and without charging you a fee for the refund.

16.5 After the 14-day cancellation period ends, your purchase stands for the share term set out in these Terms, subject to the rest of this document.

16.6 Anything already arranged or taken up as part of your owner experience may be affected by cancellation, and a refund may be adjusted where a service has already been fully provided, in line with consumer law.

17. Your Account

17.1 You are responsible for keeping your account details and password secure, and for all activity under your account.

17.2 Tell us immediately if you suspect unauthorised use of your account.

18. Intellectual Property

18.1 All content on the GoldenBlue Racing website — including logos, branding, photography, and written content — belongs to the Company or its licensors and may not be reproduced without permission.

19. Limitation of Liability

19.1 Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud.

19.2 Subject to Section 19.1, our liability to you is limited to the amount you have paid for your Lease Share in the 12 months before a claim arises.

19.3 We are not liable for the performance, health, or racing results of any horse.

20. Data Protection

20.1 We handle your personal data in accordance with UK data protection law. Details of what we collect and how we use it are set out in our Privacy Policy.

21. Complaints

21.1 If you're unhappy with anything, contact us at info@goldenblueracing.com and we'll do our best to resolve it directly.

22. Changes to These Terms

22.1 We may update these Terms from time to time. Where a change materially affects your existing Lease Share, we will give you reasonable notice before it takes effect.

23. Governing Law

23.1 These Terms are governed by English law, and the English courts have exclusive jurisdiction over any dispute.
